DistinctID.com (the "Site") is operated by DJL Systems, Inc. ("we," "us," "our," or the "Company"). These Terms of Service ("Terms") govern your access to and use of the Site and our services, including designing and ordering custom plastic cards (the "Services"). By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or Services.

1. Acceptance of Terms

We may update these Terms at any time. Continued use of the Site or Services after changes constitutes acceptance of the updated Terms. We will notify you of material changes via email or a prominent notice on the Site.

2. Use of the Site and Services

• You must be at least 18 years old or have parental consent to use the Services.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
• You agree not to use the Site or Services for any unlawful purpose or in violation of these Terms.
• We reserve the right to refuse service, suspend or terminate accounts, or cancel orders at our discretion, including for suspected violations of law or these Terms.

3. User Content and Intellectual Property

• You retain ownership of designs and content you upload ("User Content").
• By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute it solely to provide the Services (e.g., printing your custom cards).
• You represent and warrant that your User Content does not infringe any third-party intellectual property rights, including copyrights, trademarks, or privacy rights.
• You agree to indemnify and hold us harmless from any claims arising from your User Content, including intellectual property disputes.
• We reserve the right to reject or cancel any order containing content we deem unlawful, infringing, inappropriate, or potentially fraudulent.

Important Prohibition: You may not use the Services to create cards intended to falsify identity, impersonate others, or create "novelty," "fake," or counterfeit IDs that could deceive third parties or be used illegally. Fulfillment of an order does not imply endorsement of the content or its intended use. We may report suspected illegal activity to authorities.

4. Orders and Payments

• Orders are subject to approval and availability.
• Prices are as displayed on the Site and may change without notice.
• Payment is due at the time of order unless approved for credit terms (see Section 6).
• Risk of loss passes to you upon delivery to the carrier.

5. Custom Products, Returns, and Refunds

Custom plastic cards and accessories are made to your specifications and are non-returnable and non-refundable, except in cases of our error or defect.

• You are responsible for reviewing proofs, verifying text, graphics, colors, and bleed before approving production.
• Screen colors may differ from printed results; we recommend ordering a proof card for large orders.
• Non-custom items (e.g., hardware, consumables) may be returnable per manufacturer policies within 10 days, subject to restocking fees (15-25% or $50 minimum) and strict conditions (original packaging, unused, etc.).
• Contact us for a Return Merchandise Authorization (RMA) within specified timelines.

6. Credit Terms

Net 30 terms may be available to qualified government agencies or businesses upon credit approval. Late payments incur an 18% annual finance charge. Past-due accounts may suspend future orders.

7. Account Inactivity

Free accounts inactive for more than 6 months may be suspended or deleted, including associated content. We will attempt to notify you via registered email. Paid/subscription accounts are exempt.

8. User-Generated Content (Reviews and Comments)

By posting reviews, comments, or other content, you grant us a perpetual, irrevocable, royalty-free license to use, modify, and display it worldwide. You warrant that it does not infringe third-party rights.

9. Intellectual Property

All Site content (text, graphics, logos, software) is owned by us or our licensors and protected by U.S. and international laws. Unauthorized use is prohibited.

10. Disclaimer of Warranties

The Site and Services are provided "as is" without warranties of any kind, express or implied, including merchantability or fitness for a particular purpose.

11. Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, or consequential damages arising from use of the Site or Services.

12. Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, USA, without regard to conflict of laws principles.
